Acceptance of Terms

You understand that the Site is an evolving one. SPX 100 Club may require that you accept updates to the Site. SPX 100 Club reserves the right, at our sole discretion, to change, modify, add or remove portions of the Terms, at any time, for any reason, with or without notice to you, or to do any of the following:

Modify, suspend, limit or terminate operation of, or access to, any portion of any feature or function of the Site or your Membership and/or any of its applicable policies or terms, including hours of availability;
Change any fees or charges that may be related to your use of the Service;
Change the equipment, hardware or software required to access the Service; interrupt the Service, or any portion of the Service, to perform routine or non-routine maintenance, error correction or other changes.

Unless otherwise stated, any changes to the Terms will be effective immediately upon notice, which SPX 100 Club may provide by any means, including, without limitation, by electronic communication. It is your responsibility to review these Terms periodically for changes. Your continued use of the Services following the posting or other provision of any updated Terms will constitute your acceptance of such updated Terms and those updated Terms will apply to your continued use of the Services going forward. Your use of the Services is subject to the Terms in effect at the time of your use.

By using or accessing the room, you agree that you have read and understood this Policy, and acknowledge and consent to the learning, collection, use and sharing of your information as described in this Policy. You also consent to be bound and adhere to our rules and regulations. If you do not agree with any portion of this Policy, you are prohibited from accessing the chatroom. "SPX 100 Club" reserves the right, in its sole discretion, to change the Terms under which subscription is offered. The most current version of the Terms will supersede all previous versions. "SPX 100 Club" encourages you to periodically review the Terms to stay informed of our updates.

Rules and Regulations

Failure to adhere to these laws, rules and regulations will result in an instant ban and may lead to a legal action taken on behalf of SPX 100 CLUB against the offending party or parties.

No self-promoting or selling products of any kind without a consent from SPX 100 CLUB admin
No asking for money from any member

Trade Responsibly

Trading the markets in any capacity involves substantial risk of loss. This activity may not be appropriate for everyone, and you should only risk what you can afford to lose. SPX 100 CLUB does not guarantee trading profits, nor do we guarantee freedom from risk. You must assess the risk of any trade with your broker or financial professional and then make your own independent decisions regarding any trades taken. SPX 100 CLUB is in no way responsible or liable for any trader losses whatsoever.

Subscription Plan

SPX 100 CLUB Membership requires payment. If your subscription is set to auto-renew at the end of each billing cycle, you may cancel your subscription on your own at any time from our payment processors. If you do not cancel your subscription prior to renewal, we also do not offer refunds for those payments to remain fair and consistent to all subscribers. Monthly and Yearly subscriptions are recurring until canceled by the subscriber. Simply leaving or disconnecting from our Discord servers does not cancel your subscription.

Refund Policy

We at SPX 100 Club strive hard to clarify all the rules and regulations upfront in the Introductory Call. Hence, we expect you to be satisfied with your purchase of any of our Products / Services. If you would still like to cancel then for first time users, 100% money back guarantee if certain ROI is not achieved within a set time period - check subscription plan for details. The point of this policy is to give people the chance to try the system, and if it doesn’t work, they can get their money back. It wasn’t designed to enable people to steal the training material.
Proof will be needed from you to show whether (1) the account had ~$25k of starting trading capital available (with a max risk of $2k for $100 cashflow strategy), and that (2) the strategy and alerts were implemented as alerted
A subscription can easily be canceled by logging back into Launchpass or sending an email to spx100club@gmail.com
A subscription once canceled will deactivate the account after the subscription is over

Intellectual Property

All content offered by SPX 100 Club on the Site, including, but not limited to, the free materials and content, Membership materials and content, seminars, software, any resources you receive through a representative of SPX 100 Club, and all logos, slogans, and taglines (collectively and individually, the “Content”), are protected by trademark and copyright laws.
You may not modify, publish, transmit, transfer, sell, reproduce, upload, post, perform, display, create derivative works from, or in any way exploit such Content or distribute it in any way to any other computer, server, website or other medium for publication or distribution or for any commercial purpose, except as SPX 100 Club expressly permits in these Terms. Making unauthorized copies of the Content may result in the termination of your Account, prohibition to use the Site, and further legal action

International Users

"SPX 100 Club" is controlled, operated and administered from USA. Please comply with your local laws if you access the group from a location outside of USA

Termination / Access Restriction

SPX 100 Club reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of Nevada and you hereby consent to the exclusive jurisdiction and venue of courts in Nevada in all disputes arising out of or relating to the use of the Site
Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section. You agree that no joint venture, partnership, employment, or agency relationship exists between you and SPX 100 Club as a result of this agreement or use of the Site
SPX 100 Club's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of SPX 100 Club's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by SPX 100 Club with respect to such use
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and SPX 100 Club with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and SPX 100 Club with respect to the Site
A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Arbitration

In the event a dispute shall arise between the parties to this [contract, lease, etc.], it is hereby agreed that the dispute shall be referred to United States Arbitration & Mediation for arbitration in accordance with United States Arbitration & Mediation Rules of Arbitration. The arbitrator’s decision shall be final and binding and judgment may be entered thereon. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator’s award, or fails to comply with arbitrator’s award, the other party is entitled of costs of suit including a reasonable attorney’s fee for having to compel arbitration or defend or enforce the award.

Indemnity

You agree to indemnify, defend and hold SPX 100 Club, its subsidiaries, affiliates, officers and employees harmless from any claims, losses, damages, costs, and expenses, including reasonable attorneys’ and experts’ fees and costs, arising from or related to your use or misuse of the Services, including information made available to you through this Site or the breach of these Terms. In addition, you agree to indemnify, defend and hold SPX 100 Club, its subsidiaries, affiliates, officers and employees harmless for any act resulting directly or indirectly from this Site, its data, content, materials, associated pages and documents. You also agree to cooperate fully as reasonably required in the defense of any claim

Limitation/ Disclaimer of Liability

You expressly understand and agree that, to the full extent permitted by applicable law, SPX 100 Club is not liable for damages, losses and expenses of whatever nature and however arising, including without limitation direct or indirect, special, incidental, consequential, exemplary or punitive damages, losses or expenses, including but not limited to, damages for loss of profits, loss of investments, goodwill, use, data or other intangible loss, arising in connection with this Site or use thereof or inability to use by any party, or in connection with any failure or performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line of system failure, even if the SPX 100 Club or its representatives are advised of the possibility of such damages, losses or expenses. Access hyperlinks to or from other internet resources at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements; the content, accuracy, opinions expressed and other links provided by these resources are not endorsed by SPX 100 Club. This limitation of liability applies whether the alleged liability is based on contract, negligence, tort, strict liability, or any other basis.
SPX 100 Club shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of SPX 100 Club, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond SPX 100 Club's control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
Your sole remedy for dissatisfaction with the Service or information on the Site or provided in the Service is to stop using the Service.
In the event that the foregoing disclaimer of liability is held to be invalid or unenforceable, you agree that the maximum cumulative aggregate liability of the SPX 100 Club to you for all damages, losses, and causes of action (whether in contract, tort (including, without limitation, negligence and strict liability), or otherwise) at any time shall be the lesser of $100 or the aggregate cumulative amount paid by you to SPX 100 Club up to and including the time of the incurrence of such liability, if any, to access the Service. You agree that any cause of action arising out of or related to the Service must commence within one (1) year after the cause of action accrues or the cause of action is permanently barred.

Confidential Information

“Confidential Information” means any data or information that is proprietary to the “SPX 100 Club” and not generally known to the public, whether in tangible or intangible form, in whatever medium provided, whether unmodified or modified by User or its Representatives (as defined herein), whenever and however disclosed, including, but not limited to: (i) any marketing strategies, plans, financial information, or projections, operations, sales estimates, business plans and performance results relating to the past, present or future business activities of such party, its affiliates, subsidiaries and affiliated companies; (ii) plans for products or services, and customer or supplier lists; (iii) any scientific or technical information, invention, design, process, procedure, formula, improvement, technology or method; (iv) any concepts, reports, data, know-how, works-in-progress, designs, development tools, specifications, computer software, source code, object code, flow charts, databases, inventions, information and trade secrets; (v) any other information that should reasonably be recognized as confidential information of the “SPX 100 Club”; and (vi) any information generated by the User or by its Representatives that contains, reflects, or is derived from any of the foregoing. Confidential Information need not be novel, unique, patentable, copyrightable or constitute a trade secret in order to be designated Confidential Information. The User acknowledges that the Confidential Information is proprietary to the “SPX 100 Club”, has been developed and obtained through great efforts by the “SPX 100 Club” and that “SPX 100 Club” regards all of its Confidential Information as trade secrets.
Notwithstanding anything in the foregoing to the contrary, Confidential Information shall not include information which: a) was lawfully possessed, as evidenced by the User’s records, by the User prior to receiving the Confidential Information from the “SPX 100 Club”; (b) becomes rightfully known by the User from a third-party source not under an obligation to “SPX 100 Club” to maintain confidentiality; (c) is generally known by the public through no fault of or failure to act by the User inconsistent with its obligations under this Agreement; (d) is required to be disclosed in a judicial or administrative proceeding, or is otherwise requested or required to be disclosed by law or regulation, although the requirements of paragraph 4 hereof shall apply prior to any disclosure being made; and (e) is or has been independently developed by employees, consultants or agents of the User without violation of the terms of this Agreement, as evidenced by the User’s records, and without reference or access to any Confidential Information.

Governing Law

"SPX 100 Club" administers and operates the Site from Vegas, Nevada. The Federal Arbitration Act, applicable federal law, and the laws of the state of Nevada, without regard to principles of conflict of laws, will govern these Terms and any dispute of any sort that might arise between you and SPX 100 Club.
